GENERAL TERMS AND CONDITIONS OF SALE AND DELIVERY
1. SCOPE
These Terms and Conditions apply to all quotations, sales, and deliveries by NordicHandling ("Seller"), unless otherwise agreed in writing.
2. PRODUCT USE AND SAFETY
All lifting equipment must be used strictly in accordance with:
- applicable laws and regulations
- industry safety standards
- manufacturer instructions
Use is restricted to trained and qualified personnel only.
3. COMPLIANCE AND STANDARDS
Products comply, where applicable, with:
- EN 13155
- EN 1492
- Machinery Directive 2006/42/EC
The Buyer is solely responsible for compliance with local regulations outside the EU.
4. DOCUMENTATION AND TRACEABILITY
Each delivery may include:
- Declaration of Conformity
- Test certificates
- Working Load Limit (WLL)
- Serial number and traceability documentation
5. INSPECTION AND MAINTENANCE
The Buyer is responsible for:
- correct installation
- periodic inspection
- maintenance and testing
- compliance with workplace safety regulations
Failure to comply releases the Seller from liability.
6. DELIVERY TERMS
Delivery is made in accordance with Incoterms 2020.
Delivery dates are estimates only and non-binding.
7. WARRANTY
Seller provides a 12-month limited warranty from delivery covering manufacturing defects only.
Warranty does not cover:
- wear and tear
- misuse or overloading
- lack of maintenance
8. LIMITATION OF LIABILITY
Seller’s total liability shall be limited to the lower of:
- the invoice value
- EUR 100,000
Seller shall not be liable for:
- indirect or consequential losses
- loss of profit
- business interruption
9. PRODUCT LIABILITY AND INDEMNITY
The Buyer shall indemnify and hold Seller harmless against all claims arising from:
- improper use
- failure to follow safety procedures
- resale without proper documentation or instructions
10. INSURANCE REQUIREMENT
Buyer and any distributors must maintain adequate:
- product liability insurance
- general commercial liability insurance
11. USA DISCLAIMER
To the maximum extent permitted by law:
- all implied warranties are disclaimed
- no liability for punitive or consequential damages
12. AUSTRALIA
Nothing in these Terms excludes rights under the Australian Consumer Law.
13. EXPORT CONTROL
Buyer must comply with all applicable export control laws, sanctions, and embargo regulations.
14. FORCE MAJEURE
Seller shall not be liable for failure due to events beyond reasonable control.
15. GOVERNING LAW AND DISPUTES
This agreement is governed by Danish law.
Disputes shall be settled by:
Option A (recommended): Arbitration under ICC Rules
or
Option B: Danish courts
